Client Service Agreement

This agreement sets out what AegorIQ will do for you, what we won't do, your responsibilities, and how liability works. The key things to know: our reports are advisory only (not penetration testing or legal advice), Expert tier suggestions are general suggestions only — we don't implement changes for you, you must own or be authorised to submit the website you're asking us to review, and our liability is capped at what you actually paid us. Please read sections 3, 6, and 7 carefully.

1. Parties and Agreement

1.1 This Client Service Agreement ("Agreement") is between AegorIQ, a trading name of WNMC Holdings Pty Ltd (ABN 55 698 239 502) ("AegorIQ", "we", "us", "our"), and the individual or entity that submits an order for AegorIQ services ("Client", "you", "your").

1.2 You confirm that you have read, understood, and agree to be bound by this Agreement in full by: (a) ticking the acknowledgement checkbox on the free AegorIQ Scorecard form, in the case of that Service; or (b) completing payment and/or submitting an intake form, in the case of any paid Service.

1.3 This Agreement applies to all AegorIQ services, including the free AegorIQ Scorecard, AegorIQ Essentials, AegorIQ Expert, and all add-on services (Expert Consultation Call, Fix Verification Re-scan, Compliance Document Pack). It supplements and should be read alongside our Terms of Service and Privacy Policy, which also apply to your use of AegorIQ.

1.4 If you are entering into this Agreement on behalf of a business or organisation, you warrant that you have the authority to bind that entity to this Agreement.

2. Services Provided

2.1 AegorIQ provides website risk review reports that assess the Target Website (the URL you submit) across the following areas:

2.3 Delivery timeframes commence from submission of a completed intake form, not from the time of payment. Timeframes are estimates and may be affected by factors outside our control, including API availability and scan queue times. We will notify you of any material delay.

3. Client Authorization and Warranty

Important — Read Carefully

By submitting a website URL to AegorIQ, you are making a legal declaration that you are authorized to have that website reviewed. Submitting a website you do not own or control is a breach of this Agreement and may constitute unauthorized access under Australian law.

3.1 By submitting a Target Website URL and accepting this Agreement, you warrant and represent that:

  1. You are the registered owner of the Target Website, or you are an authorized representative of the owner with explicit written permission to commission a security and compliance review of the Target Website;
  2. You have the legal authority to grant AegorIQ permission to conduct automated scanning, analysis, and review of the publicly accessible content and technical infrastructure of the Target Website;
  3. The contact email address you provide is one you own and control, and you are authorized to receive confidential reports about the Target Website at that address;
  4. All information you provide in the intake form is accurate and complete to the best of your knowledge;
  5. You are not submitting the Target Website for any unlawful, competitive intelligence, or unauthorized access purpose.

3.2 You acknowledge that AegorIQ conducts its review based solely on information you provide. AegorIQ does not independently verify website ownership prior to commencing a review.

3.3 If your warranty in clause 3.1 is found to be false or misleading, AegorIQ reserves the right to immediately cease services, withhold or withdraw any report delivered, and pursue recovery of any costs incurred. No refund will be provided in such circumstances.

4. Delivery Terms and Service Levels

4.1 Your report will be delivered as a secure link to the email address you provide in the intake form.

4.2 Delivery timeframes are set out in clause 2.2. If we are unable to deliver within the stated timeframe, we will notify you by email and provide an updated delivery estimate.

4.3 You are responsible for ensuring that emails from contact@aegoriq.com.au are not filtered to spam. AegorIQ is not liable for non-receipt of a report caused by spam filtering, an incorrect email address provided at checkout or in the intake form, or a full inbox.

4.4 If you have not received your report within the stated timeframe plus 24 hours, you must notify us at contact@aegoriq.com.au. We will investigate and re-deliver if required.

4.5 Reports are valid as a point-in-time assessment only. They reflect the state of the Target Website at the time of scanning. AegorIQ does not provide ongoing monitoring unless expressly agreed in writing.

5. Payment and Refund Policy

5.1 All prices are in Australian Dollars (AUD). GST is not charged — WNMC Holdings Pty Ltd is not currently registered for GST, so no GST is added to the price and none is included in it. You will receive an invoice for your records; it is not a tax invoice, as no GST is payable. Payment is processed securely via Stripe. AegorIQ does not store your payment card details.

5.2 Payment is due in full at the time of ordering. Services will not commence until payment is confirmed.

Refund Policy

5.3 Due to the nature of digital services, the following refund policy applies:

5.5 Nothing in this clause limits any rights you may have under the Australian Consumer Law.

6. Scope Limitations — What This Service Is Not

AegorIQ reports are advisory assessments only. They are not a guarantee of security, not a penetration test, and not legal or compliance advice. Receipt of a report does not mean your website is secure or fully compliant.

6.1 AegorIQ services are explicitly not any of the following:

6.2 AegorIQ scans only the publicly accessible features of the Target Website. We do not access password-protected areas, backend systems, databases, hosting accounts, or administrative panels.

6.3 Scan results may vary depending on the platform, server configuration, caching, and geographic location of scanning. AegorIQ makes reasonable efforts to ensure accuracy but does not warrant that all findings are complete or error-free.

7. Liability Limitations

Liability Cap

To the maximum extent permitted by Australian law, AegorIQ's total liability to you under or in connection with this Agreement is capped at the amount you actually paid for the specific service that gave rise to the claim, net of any discount or coupon applied (including any discount offered following use of the free AegorIQ Scorecard).

7.1 To the maximum extent permitted by law, AegorIQ excludes all liability for:

7.2 Our reports are provided for your internal business awareness. They are not intended to be relied upon by third parties (including insurers, regulators, investors, or legal advisors) without independent verification.

7.3 Nothing in this Agreement excludes liability that cannot be excluded under the Australian Consumer Law, including any applicable consumer guarantees.

7.4 Where the Australian Consumer Law applies and liability cannot be excluded, our liability is limited (at our election) to re-supplying the service or refunding the cost of the service.

8. Privacy and Data Handling

8.1 AegorIQ collects and handles your personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. Our full Privacy Policy sets out how we collect, use, store, and disclose your information and forms part of this Agreement.

8.2 In connection with providing the services, AegorIQ will collect:

8.3 We use this information solely to deliver your report, communicate with you about your order, and operate our business. We do not sell your data to third parties.

8.4 We use third-party service providers including Stripe (payment processing), Tally (intake forms), Make.com (workflow automation), and Airtable (order management) to operate our service. These providers are listed in our Privacy Policy. By using our service, you consent to your data being processed by these providers as necessary to deliver your report.

8.5 Scan data relating to your Target Website is retained for as long as reasonably necessary to deliver your report, handle any re-scan requests, and meet our legal and accounting obligations, after which it is securely deleted or de-identified.

8.6 You have rights to access, correct, or request deletion of your personal information. To exercise these rights, contact us at contact@aegoriq.com.au.

9. Confidentiality

9.1 Your report is a confidential document prepared solely for your use. AegorIQ will not disclose the specific findings of your report to any third party without your consent, except where required by law.

9.2 AegorIQ may use anonymised and aggregated data from completed reviews (with all identifying information removed) for the purposes of improving our services, benchmarking, and developing industry insights. No information that could identify you, your business, or your website will be included in any such use.

9.3 You agree not to represent our report as an official security certification, compliance certificate, or penetration test result to any third party.

10. Intellectual Property

10.1 Upon full payment and delivery, AegorIQ grants you a non-exclusive, non-transferable licence to use your report for your own internal business purposes.

10.2 All intellectual property in our scanning methodology, report templates, scoring frameworks, and service systems remains the property of WNMC Holdings Pty Ltd. You may not reproduce, resell, or distribute our reports or methodology without written consent.

10.3 Where the Compliance Document Pack is purchased, templates are provided for your use and adaptation. They are not legal advice and should be reviewed by a qualified lawyer before use.

11. Dispute Resolution

11.1 If you have a complaint or dispute arising from this Agreement or our services, please contact us first at contact@aegoriq.com.au. We will acknowledge your complaint within 2 business days and aim to resolve it within 10 business days.

11.2 If we are unable to resolve a dispute directly, either party may refer the matter to mediation through the Resolution Institute (resolutioninstitute.org.au) before commencing legal proceedings, unless urgent injunctive relief is required.

11.3 This Agreement is governed by the laws of the State of Victoria, Australia. Each party irrevocably submits to the non-exclusive jurisdiction of the courts of Victoria and the Federal Court of Australia.

11.4 Nothing in this clause prevents you from lodging a complaint with the Office of the Australian Information Commissioner (OAIC) in relation to privacy matters, or with Consumer Affairs Victoria in relation to consumer protection matters.

12. General Provisions

12.1 Entire Agreement. This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between the parties relating to the subject matter and supersedes all prior representations, discussions, and agreements.

12.2 Amendments. AegorIQ may update this Agreement from time to time. The version in effect at the time you place your order applies to that order. Updates will be posted on this page with a revised effective date.

12.3 Severability. If any provision of this Agreement is found to be invalid, unlawful, or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.

12.4 Waiver. Failure by either party to enforce any provision of this Agreement will not constitute a waiver of that provision or any other right.

12.5 Assignment. You may not assign or transfer your rights under this Agreement without our prior written consent. We may assign our rights and obligations to a successor entity or related body corporate.

12.6 Force Majeure. Neither party will be liable for delays or failures caused by circumstances beyond their reasonable control, including internet outages, third-party API failures, or government action. We will notify you promptly and take reasonable steps to minimise impact on your order.

Tally Form Acceptance

When you tick the acceptance checkbox in our intake form, you are confirming that you have read and agree to this Client Service Agreement in full, and that the declaration in Section 3 (Client Authorization) is true and correct to the best of your knowledge. This constitutes a legally binding agreement under Australian law.
